1. Geltungsbereich

These General Terms and Conditions (hereinafter "GTC") govern the use of the Merclino platform (hereinafter "platform" or "service"), a software-as-a-service (SaaS) solution for business management.

Die Plattform wird betrieben von Merclino (nachfolgend «Anbieter»). Mit der Registrierung oder Nutzung der Plattform akzeptieren Sie diese AGB.

2. Leistungsbeschreibung

Merclino offers a web-based platform for business management with features such as:

Terminbuchung und Kalenderverwaltung
Kundenverwaltung (CRM)
Mitarbeiterverwaltung und Dienstplanung
Kassensystem (POS)
Rechnungsstellung und Buchhaltungshilfen
Lagerverwaltung
Marketingtools (Newsletter, Kampagnen)
Dokumentenverwaltung
Additional features according to the current scope of functions

The exact scope of functions depends on the chosen subscription and may change. The provider reserves the right to expand the scope of functions at any time. Significant restrictions of existing functions will be announced with reasonable notice.

3. Registrierung und Konto

Registration is required to use the platform. The user agrees to:

Provide truthful and complete information during registration
Die Zugangsdaten vertraulich zu behandeln und nicht an Dritte weiterzugeben
Immediately inform the provider about any abusive use of their account

The provider reserves the right to block accounts suspected of abuse.

4. Kostenlose Testphase

New users receive a 30-day free trial with full functionality. After expiration, the account is automatically downgraded to the free starter plan. No automatic charges apply.

5. Abonnement und Zahlungen

5.1 Abonnementmodelle

Paid subscriptions are billed monthly or annually. Current prices are listed on the pricing page (merclino.com/pricing) einsehbar. Preise verstehen sich pro Benutzer und Monat.

5.2 Zahlungsabwicklung

Payment processing is handled via Stripe, Inc. Additional terms applyNutzungsbedingungen von Stripe. The provider does not store complete credit card data.

5.3 Abrechnung

Billing is per seat (per active user). The number of billed users is synchronized automatically. The provider issues invoices via Stripe.

5.4 Prices and currency

Currently, billing is exclusively in Swiss Francs (CHF). Additional currencies may be added in the future. All prices are exclusive of applicable VAT, if any.

6. Termination

Paid subscriptions can be canceled at any time via the Stripe Billing Portal. Cancellation takes effect at the end of the current billing period. After cancellation, the account is downgraded to the free starter plan.

The provider may terminate the contract with 30 days' notice. Immediate termination is possible in case of serious violations of these GTC.

7. Datenschutz

Der Anbieter verarbeitet personenbezogene Daten im Einklang mit dem Schweizer Datenschutzgesetz (DSG) und, soweit anwendbar, der EU-Datenschutz-Grundverordnung (DSGVO).

8. Availability and warranty

The provider strives for high platform availability but does not guarantee 100% uptime. Maintenance will be announced in advance where possible.

The platform is provided "as is." The provider assumes no warranty for:

Uninterrupted or error-free availability
Suitability for a particular purpose
Completeness or accuracy of results from automated functions (e.g., AI-generated content)

9. Compliance und Steuer-Disclaimer

Wichtig:Merclino provides tools for business management. The platform is:

Not certified accounting software — Exporte und Berichte dienen der internen Verwendung und ersetzen keine professionelle Buchhaltung
Not a tax advisor — Steuerberechnungen (z.B. MwSt-Anzeige) sind Richtwerte und ersetzen keine professionelle Steuerberatung
Not a certified e-invoicing solution— E-invoice formats are provided as export tools, not as certified submissions to tax authorities
Not medical software — Medizinische Funktionen dienen der Verwaltung und Dokumentation, nicht der klinischen Diagnose oder Behandlung

The user is solely responsible for compliance with all applicable laws and regulations in their country, especially regarding taxes, accounting, data protection, and industry regulations.

10. Limitation of liability

The provider's liability is, to the extent permitted by law, limited to the amount paid by the user to the provider in the last 12 months before the damage occurred.

The provider is not liable for:

Indirect damages, lost profits, or data loss
Damages caused by force majeure, internet disruptions, or third-party failures
Damages caused by improper use of the platform
Steuerliche oder rechtliche Konsequenzen aus der Nutzung der Plattform

11. Geistiges Eigentum

All rights to the platform, including software, design, and content, remain with the provider. The user receives a non-exclusive, non-transferable right of use for the duration of the contract.

Data and content entered by the user remain the user's property. The user grants the provider the necessary usage rights to provide the service.

12. Usage restrictions

Der Nutzer verpflichtet sich:

Do not use the platform for unlawful purposes
Do not circumvent platform security measures
Die Plattform nicht zu dekompilieren, reverse-engineeren oder kopieren
Do not perform automated access (scraping, bots) without written permission

13. Changes to the GTC

The provider reserves the right to change these GTC at any time. Changes will be announced by email or in-app notification at least 30 days before taking effect. If not accepted, the user has the right to extraordinary termination.

14. Anwendbares Recht und Gerichtsstand

Swiss law applies. Jurisdiction is the provider's registered office in Switzerland, as far as legally permissible.
